Important Changes Made to the ISTAP Bylaws

The International Skin Tear Panel (ISTAP) Board of Directors is notifying you of important changes made to the ISTAP Bylaws.

Review the Bylaw Amendments:

Amendment 1

Current Bylaw Consolidated to July 3, 2020 Bylaw with Amendments Consolidated to October 1, 2022 Rationale Validate date of revised Bylaws for accurate record keeping Amendment 2

Current Bylaw Introduction: Future statement for incorporation if that is decided: WHEREAS ISTAP was granted Articles of Incorporation by the federal Government of Canada under the Canada Corporations Act on the ? th day of month and year; Bylaw with Amendments Words inserted or added are in red Words removed are highlighted in yellow Delete this statement from the introduction of the ISTAP Bylaws Rationale ISTAP is not going to be incorporated right now. Amendment 3

Current Bylaw 3.01 - MEMBERS 1.01 Classes and Conditions of Membership A Member of ISTAP shall have the right to receive notice of, attend, speak and participate at all meetings of Members and the right to one (1) vote at all meetings of Members. Bylaw with Amendments Words inserted or added are in red Words removed are highlighted in yellow 3.01- MEMBERS 1.01 Classes and Conditions of membership Class A Members of ISTAP shall have the right to receive notice of, attend, speak and participate at all meetings of Members and the right to one (1) vote at all meetings of Members. Class B Members are non-voting but can be invited to attend meetings of Members. Rationale Need clarification of which class of members can vote and participate in the meetings of members. Amendment 4

Current Bylaw 5.04 Board Composition One (1) Director for each of the following geographic regions: 1. North America – USA 2. North America - Canada 3. Latin America 4. Europe 5. Europe – United Kingdom 6. Africa 7. Middle East 8. Asia 9. Australia/New Zealand Bylaw with Amendments Words inserted or added are in red Words removed are highlighted in yellow 5.04 Board Composition One (1) Director for each of the following geographic regions: 1. North America – USA 2. North America – Canada 3. Latin America – Spanish 4. Latin America – Portuguese 5. Europe 6. Europe – United Kingdom 7. Africa 8. Middle East 9. Asia 10. Australia/New Zealand Rationale Latin America needs representation of a Spanish speaking Board Director to represent Spanish speaking countries and a Portuguese speaking Board Director to represent Brazil. Amendment 5

Current Bylaw 5.05 (c) Election, Appointment and Term of Directors The President-Elect, the Secretary, the Treasurer and the five (9) global Directors shall be elected and shall retire in rotation every two (2) years. Bylaw with Amendments Words inserted or added are in red Words removed are highlighted in yellow 5.05 (c) Election, Appointment and Term of Directors The President-Elect, the Secretary, the Treasurer and the ten (10) global Directors shall be elected and shall retire in rotation every two (2) years. Rationale There are now ten (10) global Board Directors Amendment 6

Current Bylaw 7.03- Term of Office The President, President–Elect, Treasurer and Secretary shall hold his or her position for two (2) years. The Past President shall hold their term for one year. The Executive Director (if any) would be an appointed contracted position with no voting rights. Bylaw with Amendments Words inserted or added are in red Words removed are highlighted in yellow 7.03 Term of Office The President, President –Elect, Treasurer and Secretary shall hold his or her position for two (2) years. The Past President shall hold their term for one year. The Executive Director (if any) would be an appointed contracted position with no voting rights. Rationale Clarify the length of time the Immediate Past President is in their role.
